Terms of Service

These Terms of Service ("Terms") govern your use of Emerge (the "Service"), a hosted email marketing and transactional platform that sends email through sending accounts you connect and own. By creating an account or using the Service, you agree to these Terms.

1. Early access

Emerge is currently offered as an early-access, invitation-based service while it is still being built out. Features, pricing, and these Terms may change as the Service develops, and we do not guarantee uninterrupted availability during this period.

2. Your account

You must provide accurate information to create an account and are responsible for activity that happens under it, including any sending accounts you connect. Notify us promptly of any unauthorized use.

3. Connected sending accounts

The Service sends email only through sending accounts (Gmail, Microsoft 365, Amazon SES, SMTP, or an ESP API key) that you connect and are authorized to use. You may connect a Gmail or Microsoft 365 account only if you are authorized to administer that account and to grant the OAuth permissions the Service requests on it (see the Privacy Policy for exactly what each scope is used for). You are responsible for maintaining your rights to use each connected account and for that account's own terms, sending limits, and policies — the Service does not raise a provider's own limits or override its policies, and your use of Gmail and Microsoft 365 through the Service is also subject to Gmail's API and program policies and Microsoft Graph's own terms.

4. Acceptable use

You agree to use the Service only to send email to people who have consented to receive it from you, or to whom you otherwise have a lawful basis to send. You agree not to:

• send unsolicited bulk or "cold" email, or use purchased, scraped, or rented contact lists;
• violate applicable anti-spam or privacy laws, including the CAN-SPAM Act, GDPR, CASL, or PECR;
• violate the sending policies of any connected provider (Google, Microsoft, Amazon, SendGrid, Mailgun, Brevo, or an SMTP host);
• send content that is unlawful, fraudulent, deceptive, or infringing, or that impersonates any person or entity;
• attempt to interfere with, disrupt, or gain unauthorized access to the Service or another account.

We may suspend or terminate an account that we reasonably believe violates this section, including to protect the deliverability and reputation of the Service and its other users.

5. Your content and contacts

You retain ownership of the contacts, content, and templates you upload to the Service. You are solely responsible for having the right to collect, store, and email that data, and for honoring unsubscribe and data-deletion requests from your own contacts. You grant us a limited license to store, process, and transmit your content solely to provide the Service to you.

6. Fees

The Service is currently offered free of charge during early access. We may introduce paid plans in the future; you'll be notified before any charge applies to your account.

7. Third-party services

Your use of a connected sending account is also governed by that provider's own terms. The Service does not modify or supersede those terms, and we are not responsible for a provider's availability, sending limits, or policy enforcement against your account.

8. No warranty

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or that every message will be delivered.

9. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL THE OPERATORS OF THE SERVICE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, OR REVENUE, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE.

10. Termination

You may stop using the Service and request deletion of your account at any time by contacting us. We may suspend or terminate an account for a violation of these Terms, or discontinue the Service, in whole or in part, at any time.

11. Changes

We may update these Terms from time to time, especially during early access. Continued use of the Service after a change constitutes acceptance of the revised Terms.
